Agree the design files, usage and feedback process before creating concepts

A logo presentation, print-ready brochure and editable source file are different deliverables. Describe what the designer is creating and what the client will receive before concepts begin. This downloadable outline prepares those details for legal review. It does not determine intellectual-property rights or create an agreement in Microtra.

Inside the downloadable sample

  • Design brief and output schedule
  • Concept review and consolidated feedback
  • Client content and production specifications
  • Fonts, images and other licensed assets
  • Final files and rights terms
  • Commercial terms and project closure

The PDF and editable DOCX contain the sample clauses and blank agreement fields. Microtra does not generate contracts.

How to use the template.

  1. Prepare the design brief and a final-file list, distinguishing concepts, production artwork and editable source files.
  2. Identify feedback authority, client-supplied content and third-party assets before editing the outline.
  3. Take the sample, quote and intended usage arrangement to a qualified attorney in your state for legal review.
  4. Complete your own agreement and signing process, retaining approved proofs and written scope changes with the final version.

Useful answers.

Should editable source files be listed explicitly?

Yes. Name the intended file types and included supporting assets rather than assuming that a PDF delivery includes a working design file. Have counsel review the related rights and licensing terms.

Can the sample guarantee a font license covers the client?

No. Review the actual license with appropriate advice and identify who needs permission for the intended use. A font appearing in a design does not resolve every desktop, web or distribution question.

How do I distinguish revisions from a new design direction?

Describe the accepted concept and intended feedback stage in the brief, then use a reviewed approval process for a changed direction. Clear references help the parties discuss scope without relying on an unlimited revisions promise.
